1. About these terms
These Terms of Service ("Terms") are a legally binding agreement between you and [Company legal name] (Private) Limited, a company registered in Sri Lanka under registration number [Company registration number], with its registered office at [Registered office address], Sri Lanka ("Walakulu", "we", "us" or "our"). Walakulu is built and operated with the support of OCTICK.
They apply to your use of walakulu.com, the Walakulu dashboard, our hosting, deployment, automatic fix, security scanning, domain, email, expert help and any other product or feature we provide (together, the "Service").
By creating an account, joining the waitlist, clicking to accept, paying for a plan, or using the Service in any way, you confirm that you have read, understood and accept these Terms and the documents they refer to: the Acceptable Use Policy, the Privacy Policy, the Payments, Refunds and Cancellation Policy, the Domain Registration Terms, the Data Processing Addendum and the Cookie Policy. If you do not accept them, do not use the Service.
If you use the Service for a business or another organisation, you confirm that you have authority to bind it, and "you" means that organisation as well as you personally.
You must be at least 18 years old and legally able to enter into contracts to use the Service.
2. Your account
You must give us accurate, complete and current information and keep it up to date. You are responsible for everything that happens under your account, including actions taken by anyone you share access with and by any software, script or AI agent you connect to it.
Keep your password, API keys and access tokens secret. Tell us at hello@walakulu.com straight away if you think someone has accessed your account without permission. We are not responsible for losses caused by unauthorised access that results from your failure to keep your credentials safe.
We may refuse to open an account, or ask you to verify your identity or business, at our discretion.
3. The Service
Walakulu takes website projects built with AI tools or by hand, builds them, hosts them on servers and networks run by us and our providers, connects them to domains and keeps them updated.
Early access. Walakulu is new. Features marked as preview, early access or beta, and everything provided during our waitlist and launch period, are experimental and may change, break or be withdrawn without notice.
Hosting locations. We decide where your site is stored and served from, and we may serve it from several locations and move it between them at any time to improve speed, cost or reliability. You agree that your site and the data in it may be stored and processed in Sri Lanka and in other countries.
Performance figures. Distances, round trip times, speed comparisons and similar figures on our website are illustrations based on physics and typical conditions. They are not promises about how fast your site will load for any visitor.
Changes. We may add, change or remove features, limits and supported technologies at any time. If we stop providing the Service as a whole, we will give you at least 30 days' notice by email and refund any fees you prepaid for the period after it stops.
Third party services. The Service relies on third parties such as hosting and network providers, domain registries, payment processors and AI model providers. Their services are governed by their own terms and we are not responsible for their acts, failures or outages.
Not affiliated. ChatGPT, Claude, Lovable, Bolt, v0, Cursor, GitHub and other product names on our website are trademarks of their owners. Walakulu is not affiliated with, endorsed by or sponsored by them. Your use of those tools is governed by their own terms.
4. Your website and content
You own it. You keep all ownership rights in the code, files, text, images, data and other material you upload, connect or create with the Service ("Your Content"). This includes code generated for you by AI tools, to the extent any rights exist in it.
Licence to us. You give us and our providers a worldwide, non-exclusive, royalty free licence to host, store, copy, build, transform, analyse, cache, transmit, display and modify Your Content as needed to provide, secure and improve the Service and to comply with law. This licence ends when Your Content is deleted from our systems, except for copies we must keep by law or that remain in routine backups until they expire.
Automatic fixes and scanning. You authorise us, including automated systems and AI models, to read your project, change its code and configuration, add or update dependencies, and rebuild it in order to make it build, run or be more secure. Automatic fixes and security scans are best effort. They can be wrong, incomplete or introduce new problems, and they do not guarantee that your site is error free, secure or lawful. You are responsible for reviewing your site after every change.
Your responsibility. You are solely responsible for Your Content and your website, including its accuracy, legality, security, accessibility, the products and services it offers, the claims it makes, any payments it takes, and any harm it causes. AI generated code can contain errors, security weaknesses, or material that belongs to someone else. Checking it is your responsibility, not ours.
Your rights to use it. You confirm that you own or have all rights, licences and permissions needed for Your Content, including names, logos, images, fonts, music and any personal data in it, and that our use of it under these Terms will not infringe anyone's rights or break any law.
Backups. You must keep your own up to date copies of Your Content outside Walakulu. We may keep backups for our own operational purposes, but we do not promise that any backup exists or can be restored, and we are not responsible for loss or corruption of Your Content.
5. Your visitors and their data
The people who visit or use your website are your users, not ours. You are the controller of any personal data your website collects about them, and you must comply with every law that applies to your website and business. Depending on where you and your visitors are, this may include Sri Lanka's Personal Data Protection Act, No. 9 of 2022, the EU and UK GDPR, consumer protection, e-commerce, advertising, tax, accessibility and electronic marketing laws.
In particular, you are responsible for publishing your own privacy policy and terms, getting any consents required (including for cookies and marketing), answering your visitors' requests, and using a compliant payment provider if your site takes payments. Do not collect or store card numbers on your site yourself.
When we process personal data on your behalf as part of hosting your site, the Data Processing Addendum applies and forms part of these Terms.
6. Acceptable use, complaints and legal requests
You must follow our Acceptable Use Policy at all times. You must not use the Service to break the law, harm or deceive anyone, infringe anyone's rights, send spam, or attack, overload or test the security of the Service or any other system.
We may, but are not obliged to, monitor, scan and review Your Content and how the Service is used. If we receive a complaint, a notice of copyright or trademark infringement, or a request or order from a court, regulator or other authority, including under the Online Safety Act, No. 9 of 2024, we may take any action we consider appropriate, including removing content, disabling a site, preserving data and sharing information with the authority or the complainant as the law allows.
Send complaints about a site hosted on Walakulu to abuse@walakulu.com.
7. Plans, fees and payment
Prices are in Sri Lankan rupees (LKR) unless stated otherwise and are shown before you pay. Paid plans are billed in advance for each monthly or yearly period and renew automatically until you cancel. Any applicable taxes are shown at checkout.
If a payment fails or is reversed, we may retry the charge, and if it is still unpaid 7 days after it was due we may suspend your sites and features until it is paid. If an account remains unpaid for 30 days, we may close it and delete Your Content.
We may change our prices. We will tell you at least 30 days before a price change affects you, and it will apply from your next billing period. If you do not agree, cancel before then.
Bank, card, currency conversion and international transaction charges made by your bank or card issuer are your responsibility.
Refunds and cancellations are covered by our Payments, Refunds and Cancellation Policy.
8. Expert help
If you ask for expert help, we will tell you the scope and the fixed price before we start. Work begins once you accept the quote and pay. We fix the specific problem described in the quote; anything else is new work.
To do the work, you allow our engineers to access your project, account and connected services as needed. We may decline any request. Expert help is provided with reasonable skill, but we do not guarantee a particular outcome. If we cannot fix the problem described in the quote, we refund the fee for that fix and have no further obligation.
9. Domains and email
Domain names are registered through registries and registrars on your behalf and are governed by our Domain Registration Terms and the rules of the relevant registry. Business email and other add ons provided with third parties may have additional terms, which we will show you before you buy.
10. Suspension and termination
You can stop using the Service and cancel your plan at any time from your account or by emailing us.
We may suspend or limit your account, any site or any feature immediately and without notice if we reasonably believe that: you have broken these Terms or the Acceptable Use Policy; your site or account puts people, our systems or other customers at risk; payment is overdue; we are required to by law, a court, a registry or an authority; or your use could expose us or our providers to liability. Where it is safe and lawful, we will tell you why and give you a chance to fix the problem.
We may end these Terms or close your account for any reason with 30 days' notice, or immediately for the reasons above. Fees already paid are not refunded when we suspend or close an account because of your breach.
Sections that by their nature should continue after the end of these Terms will continue, including those on Your Content licences needed for deletion, fees owed, disclaimers, limitation of liability, indemnity, governing law and general terms.
11. Your data when your account ends
When your account or a plan ends, your sites go offline. For 30 days after that, you can ask us to give you a copy of Your Content where it is technically available. After 30 days we may permanently delete Your Content, and we have no obligation to keep or return it. Copies in backups are deleted on their normal cycle.
12. Our property
The Service, our software, design, documentation, the Walakulu name, logo and brand, and everything we create to provide the Service belong to us or our licensors. These Terms give you a limited, personal, non-transferable right to use the Service while your account is active. You must not copy, resell, reverse engineer or build a competing service from it, except as the law expressly allows.
If you send us ideas or feedback, we may use them freely without paying or crediting you.
13. Disclaimers
To the fullest extent the law allows, the Service is provided "as is" and "as available". We make no promises or warranties, express or implied, including about uptime, speed, availability, security, accuracy, fitness for a particular purpose, non infringement, or that the Service, automatic fixes or security scanning will be uninterrupted, error free or meet your needs. We do not offer any uptime or service level guarantee unless we agree one with you in a separate signed document.
Websites can go offline, load slowly, be attacked or lose data for reasons outside our control, including failures of the internet, our providers, registries or your own code. You use the Service at your own risk and you are responsible for deciding whether it is suitable for your business.
14. Limitation of liability
To the fullest extent the law allows:
- We will not be liable for any loss of profit, revenue, sales, business, customers, goodwill, reputation or anticipated savings; any loss, corruption or exposure of data or Your Content; any cost of replacement services; or any indirect, incidental, special, consequential, exemplary or punitive loss or damage, however it arises and even if we were told it was possible.
- We will not be liable for any loss caused by downtime, slow performance, security incidents we could not reasonably prevent, the acts or failures of third parties (including providers, registries, payment processors and AI tools), changes made by automatic fixes, Your Content, or your breach of these Terms.
- Our total liability to you for all claims of any kind arising out of or relating to the Service or these Terms, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the greater of (a) the fees you actually paid us for the Service in the 3 months before the event that gave rise to the claim, and (b) LKR 5,000.
- Any claim must be brought within 12 months after the event that gave rise to it, or it is waived.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, such as liability for fraud, for death or personal injury caused by negligence, or rights you have as a consumer that cannot be waived. Where the law does not allow a limitation, our liability is limited to the smallest extent the law permits.
15. Your responsibility to us (indemnity)
You agree to defend, indemnify and hold harmless us, OCTICK, our affiliates, and our and their directors, employees, contractors and providers from and against all claims, demands, losses, damages, fines, penalties, costs and expenses (including reasonable legal fees) arising out of or relating to: Your Content or your website; your business and dealings with your own customers and visitors; your breach of these Terms, the Acceptable Use Policy or any law; any infringement of a third party's rights by you or Your Content; or any dispute about a domain name registered for you.
We will tell you about any such claim, and we may choose to control its defence at your expense. You must not settle a claim that affects us without our written consent.
16. Events outside our control
We are not responsible for any delay or failure caused by events beyond our reasonable control, including power or internet outages, failures of providers or registries, cyber attacks, natural disasters, epidemics, war, civil unrest, strikes, government action, changes in law, or sanctions.
17. Changes to these terms
We may update these Terms from time to time. We will post the new version on this page with a new date. If a change materially reduces your rights, we will also tell you by email or in your account at least 14 days before it takes effect, unless the change is required sooner by law or to address security or abuse. If you keep using the Service after a change takes effect, you accept the updated Terms. If you do not agree, you must stop using the Service and cancel.
18. Notices and electronic communications
You agree that we can contract with you, send notices and provide records electronically, by email to the address on your account, in your dashboard or on this website, and that these communications satisfy any legal requirement to be in writing, as recognised by the Electronic Transactions Act, No. 19 of 2006. A notice is treated as received when sent to your email address. Legal notices to us must be sent to legal@walakulu.com.
19. Governing law and disputes
These Terms and any dispute or claim arising out of or relating to them or the Service, including non contractual disputes, are governed by the laws of the Democratic Socialist Republic of Sri Lanka.
Before starting any legal proceedings, you agree to contact us at legal@walakulu.com and try to resolve the dispute informally for at least 30 days.
The courts of Colombo, Sri Lanka have exclusive jurisdiction, and you submit to them. We may still seek urgent relief, or recover unpaid fees, in any court with jurisdiction.
To the fullest extent the law allows, claims may only be brought on an individual basis and not as a plaintiff or class member in any class, collective or representative action, and you waive any right to a jury trial.
20. General
These Terms and the documents they refer to are the entire agreement between you and us about the Service and replace any earlier agreement, statements or marketing. You may not transfer your rights or obligations under them without our written consent; we may transfer ours to a member of our group or to a buyer of our business. If any part of these Terms is found invalid or unenforceable, it will be limited to the minimum extent necessary and the rest will remain in force. If we do not enforce a right straight away, we have not waived it. Nothing in these Terms creates a partnership, agency or employment relationship. No one other than you and us has any right to enforce these Terms.
These Terms are written in English. Any translation or summary, including those in Sinhala and Tamil on this website, is provided for convenience only. If there is any difference, the English version applies.
